Terms of Service
Effective Date: August 27, 2026
Last Updated: August 27, 2026
These Terms of Service (the “Terms”) are a binding agreement between you and Onyx Interactive Network (“ONI,” “we,” “us,” or “our”). They govern your access to and use of ONI’s websites, billing portal, Discord servers, online communities, hosted game servers, bot hosting, server management, setup and configuration services, dashboards, database work, custom development, repairs, branding configuration, managed services, events, content, and other digital products or services we provide (collectively, the “Services”).
By accessing or using any Service, creating an account, joining an ONI-managed community, placing an order, or agreeing to an order or invoice, you acknowledge that you have read and agree to these Terms. If you do not agree, do not use the Services.
1. Additional Terms and Order Documents
These Terms apply across all ONI Services and communities. Certain Services may also be governed by an accepted quote, invoice, order confirmation, plan description, project scope, service-specific rules, community rules, Refund and Cancellation Policy, Privacy Policy, or other written terms presented to you (collectively, “Additional Terms”).
Additional Terms are incorporated into these Terms by reference. If a direct conflict exists, the Additional Terms control only for the specific Service or transaction they address. Any material change to an accepted project scope, schedule, or deliverable must be approved by both parties in writing.
2. Eligibility and Age Requirements
You must be at least 13 years old and meet the minimum age required by any third-party platform you use to access the Services. Anyone under 13 may not create an account, join an ONI-managed community, or otherwise use the Services.
Users who are 13 through 17 may participate only in portions of the Services and communities made available to minors, must have permission from a parent or legal guardian, and must follow all applicable teen-access and channel-separation rules.
You must be at least 18 years old and legally capable of entering into a binding contract to purchase a Service, accept an invoice or order, create a billing account, or otherwise become an ONI customer. A minor may not purchase Services or enter into a contract with ONI. If an adult purchases a Service that will be used by or for others, that adult remains the customer and is responsible for the account, payment, and all authorized users.
3. Accounts and Account Security
You agree to provide accurate, current, and complete information and to keep it updated. Billing accounts must use the customer’s legal name and valid contact information. You are responsible for:
- maintaining the confidentiality and security of your credentials;
- all activity performed through your account or Service by you or an authorized user;
- configuring appropriate permissions for your staff, members, bots, applications, and integrations; and
- notifying ONI promptly if you suspect unauthorized access or a security incident.
You may not impersonate another person or organization, create accounts using false information, transfer an account without ONI’s written approval, or attempt to access an account or Service you are not authorized to use.
4. Community Standards and Acceptable Use
You must use the Services lawfully, responsibly, and in compliance with all published ONI rules and applicable third-party platform rules. You may not use the Services to:
- harass, threaten, stalk, exploit, discriminate against, or dox another person;
- post or distribute illegal, fraudulent, deceptive, defamatory, or infringing material;
- create, possess, solicit, or distribute sexual or exploitative content involving minors;
- distribute malware, malicious code, credential-stealing tools, or content intended to damage a system or device;
- conduct or facilitate denial-of-service attacks, unauthorized access, scanning, intrusion, disruption, or circumvention of security controls;
- send spam, run scams, engage in unauthorized advertising or solicitation, or recruit ONI members in violation of community rules;
- infringe copyrights, trademarks, privacy rights, publicity rights, or other rights of another person;
- evade a suspension, ban, limitation, or moderation action;
- interfere with other customers or consume excessive or unauthorized network, computing, storage, or support resources; or
- use a Service in a way that exposes ONI, its infrastructure, its users, or a third-party platform to legal, security, operational, or reputational harm.
ONI may investigate suspected violations and may remove content, restrict features, revoke community access, suspend a Service, or terminate an account when reasonably necessary to protect ONI, its communities, its infrastructure, or others. Community moderation decisions may take into account the context, severity, history, and risk of the conduct.
5. Services, Orders, and Customer Responsibilities
Service features, resource allocations, prices, schedules, deliverables, dependencies, and support terms are those shown in the applicable plan, order, invoice, or written project scope. ONI may accept or decline an order in its discretion. An order is not final until ONI accepts it or begins provisioning or performing the work.
You are responsible for supplying accurate requirements, content, credentials, approvals, platform access, and timely feedback reasonably needed for ONI to perform the work. Delays, added work, or rework caused by incomplete or inaccurate information, unavailable customer systems, scope changes, or third-party restrictions may change the delivery schedule or require additional charges. ONI will obtain approval before billing for material out-of-scope work.
You are responsible for confirming that a Service is suitable for your intended use and for lawfully obtaining any licenses, permissions, or third-party accounts needed for your content, software, game server, bot, community, or integration.
6. Fees, Billing, and Recurring Services
Prices and billing intervals are disclosed in the applicable plan, checkout page, quote, invoice, or order. You authorize ONI and its payment processor to charge the payment method you provide for accepted charges, including recurring charges you expressly approve.
Recurring hosting, management, and subscription Services are billed in advance and automatically renew for the same billing interval until canceled. The price, billing interval, renewal terms, and cancellation method will be disclosed before purchase. You must cancel before the next renewal payment is processed to avoid renewal for the next billing period.
You agree to pay all charges when due and any applicable taxes shown at checkout or on an invoice. If payment fails or becomes overdue, ONI may retry the payment, restrict or suspend the affected Service, or terminate it after any notice or grace period ONI chooses to provide. You remain responsible for valid unpaid amounts.
ONI may change recurring prices prospectively by providing reasonable notice before the change applies to a future renewal. Continuing the Service after the effective date of the disclosed change constitutes acceptance of the new price. A price change will not retroactively alter a completed charge.
If you believe a charge is incorrect, contact ONI promptly so we can investigate. This does not limit any dispute rights provided by applicable law. Fraudulent or abusive payment disputes may result in suspension or termination.
7. Cancellation
You may cancel a recurring Service through the ONI billing portal at https://billing.onyxinteractive.org or by emailing admin@onyxinteractive.org. A cancellation normally takes effect at the end of the current paid billing period unless you request immediate termination or the Additional Terms state otherwise.
Cancellation requests must be received before the next renewal payment is processed. Canceling after a renewal charge does not reverse the renewal or automatically create a refund. If you request immediate termination, access may end at once and remaining time in the billing period will not be credited or refunded unless required by law or expressly approved by ONI.
8. Refunds and Service Credits
One-time, setup, configuration, custom-development, repair, and other project fees become nonrefundable once ONI begins work, provisioning, configuration, or delivery. Recurring hosting and management fees are generally nonrefundable once the applicable billing period begins.
Any refund request must be submitted within seven calendar days of the charge or event giving rise to the request. Approval depends on the circumstances, the work already performed, resources already committed, and the applicable Additional Terms. No refund or credit is owed for customer-caused issues, third-party platform failures, violations of these Terms, or unused time after cancellation.
If a prolonged failure is caused directly by ONI and ONI cannot restore or reasonably re-perform the affected Service, ONI may, as appropriate, provide re-performance, a proportional service credit, or a partial or full refund for the affected portion. The complete Refund and Cancellation Policy controls the administration of cancellation, refund, and credit requests.
Nothing in this section limits a non-waivable right or remedy available under applicable law.
9. Provisioning, Suspension, Termination, and Data
ONI may suspend or terminate a Service or account for nonpayment, fraud, illegal activity, abuse, security threats, intellectual-property violations, violations of Discord or another game or platform provider’s rules, attacks, excessive resource use, or a material breach of these Terms or Additional Terms. When practical and safe, ONI may provide notice and an opportunity to correct the issue, but immediate action may be taken when necessary to prevent harm or comply with law or a third-party requirement.
You may stop using free Services at any time and may cancel paid Services as described above. ONI may discontinue a free Service, community feature, or unsupported offering upon reasonable notice when practical.
Customer data associated with a terminated or expired Service may be permanently deleted beginning seven calendar days after termination or expiration. This is not a guaranteed retention period. You are responsible for exporting data and maintaining current backups before cancellation, termination, or expiration. ONI has no obligation to recover deleted data unless the applicable plan or written agreement expressly says otherwise.
Sections that by their nature should survive termination—including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute terms—will survive.
10. Availability, Maintenance, and Changes
ONI works to keep paid Services reasonably available but does not promise uninterrupted or error-free operation unless a written service-level commitment expressly states otherwise. Maintenance, updates, security work, network conditions, hardware or software failure, attacks, upstream provider outages, game or platform updates, and events outside ONI’s reasonable control may affect availability or functionality.
ONI may patch, update, reconfigure, replace, or modify Services when reasonably necessary for security, compatibility, maintenance, legal compliance, or continued operation. We will try to provide notice of planned material interruptions when practical. Beta, experimental, preview, and free features may change or end without notice and are provided as available.
11. Backups and Security
Unless an applicable plan expressly includes managed backups with stated retention terms, you are solely responsible for backing up your content, databases, configurations, credentials, and other data. Backup tools or snapshots made available by ONI are safeguards, not guarantees against every form of data loss.
You may not conduct security testing, penetration testing, vulnerability scanning, or load testing against ONI systems without prior written authorization. If you discover a suspected vulnerability, report it privately to admin@onyxinteractive.org and do not publicly disclose or exploit it.
12. Customer Content and Permissions
You retain ownership of content, code, branding, databases, files, and other materials you lawfully provide to ONI (“Customer Content”). You grant ONI a limited, nonexclusive license to host, copy, process, transmit, modify, display, and otherwise use Customer Content only as reasonably necessary to provide, secure, support, and improve the requested Services or comply with law.
You represent that you have all rights and permissions needed for Customer Content and that ONI’s authorized use of it will not violate law or another person’s rights. You are responsible for Customer Content and for activity by users you authorize.
ONI does not claim ownership of private customer data merely because it is hosted through a Service. ONI may remove or restrict Customer Content that violates these Terms, creates a credible risk, or must be removed to comply with law or a valid third-party request.
13. ONI Content and Intellectual Property
The Services, ONI name and branding, website design, original software, documentation, graphics, templates, configurations, and other materials created or owned by ONI are protected by intellectual-property law. Except for the limited right to use a Service under these Terms, no ONI rights are transferred to you.
You may not copy, sell, sublicense, reverse engineer, remove ownership notices from, or commercially exploit ONI materials without permission, except where applicable law does not allow that restriction. Ownership of custom deliverables will be governed by the accepted project scope or Additional Terms. If those documents do not expressly transfer ownership, ONI retains its preexisting materials, tools, know-how, reusable components, and general methods.
14. Public Communities, Events, and User Contributions
Content you voluntarily post in a public or community-facing area may be seen, copied, quoted, streamed, or shared by others. ONI events, voice channels, gameplay sessions, and community activities may sometimes be publicly streamed or recorded. When an event or space is identified as public, streamed, or recorded, your voluntary participation means your username, avatar, gameplay, chat, voice, or other public contribution may appear in that content.
Do not post confidential information or material you do not have permission to share. ONI is not responsible for the independent conduct or statements of community members, creators, guests, or third parties, but may moderate ONI-controlled spaces under these Terms and the applicable community rules.
15. Third-Party Platforms and Services
The Services may depend on or link to third parties such as Discord, game publishers, hosting and network providers, payment processors, domain and tunnel providers, social platforms, APIs, plugins, and open-source projects. Your use of those products may be governed by separate third-party terms and privacy policies.
ONI does not control third-party products and is not responsible for their outages, policy decisions, account actions, price changes, security incidents, discontinued features, API changes, or content. A third-party change may require ONI to modify, suspend, or discontinue an affected feature. References to a partner, creator, sponsor, or third-party community do not create an agency, employment, or legal partnership unless ONI expressly agrees otherwise in writing.
16. Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” ONI disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranties arising from a course of dealing or usage of trade.
ONI does not warrant that every Service will be uninterrupted, error-free, secure against every threat, compatible with every third-party update, or capable of preventing all data loss. No statement by ONI creates a warranty unless it is included in an express written commitment accepted by ONI.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
17. Limitation of Liability
To the fullest extent permitted by law, ONI and its owners, personnel, contractors, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, business, goodwill, or opportunities; loss or corruption of data; replacement-service costs; or damages arising from third-party platforms, even if advised that such damages were possible.
To the fullest extent permitted by law, ONI’s total aggregate liability arising out of or relating to a Service or these Terms will not exceed the total amount you paid ONI for the affected Service during the six months immediately preceding the event giving rise to the claim. For a free Service, ONI’s total aggregate liability will not exceed $100.
These limitations do not exclude liability for fraud, willful misconduct, gross negligence, or any other liability that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations, so the limitations apply only to the extent permitted by applicable law.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless ONI and its owners, personnel, contractors, and affiliates from third-party claims, damages, judgments, losses, liabilities, and reasonable costs and attorneys’ fees arising from your Customer Content, your unlawful or unauthorized use of a Service, your users’ activity, your violation of these Terms or Additional Terms, or your infringement of another person’s rights.
ONI will provide reasonable notice of an indemnified claim and may control the defense and settlement. You may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on ONI without ONI’s written consent.
19. Informal Dispute Resolution
Before filing a lawsuit, you and ONI agree to attempt in good faith to resolve any dispute arising from these Terms or the Services. The party raising the dispute must send written notice describing the issue, relevant account or order, supporting facts, and requested resolution.
Notices to ONI must be sent to admin@onyxinteractive.org with the subject line “Legal Dispute Notice.” ONI may send its notice to the email address associated with your account. The parties will have 30 calendar days after receipt of a complete notice to attempt an informal resolution. Either party may seek urgent temporary or injunctive relief before that period ends when reasonably necessary to prevent immediate harm, unauthorized access, or infringement.
20. Governing Law and Tennessee Courts
These Terms and any dispute arising from them or the Services are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where federal law applies.
If a dispute is not resolved through the informal process above, the parties consent to the exclusive jurisdiction and venue of the state or federal courts with proper jurisdiction over ONI’s principal place of business in Tennessee. Nothing in these Terms prevents either party from bringing an eligible individual claim in a court of competent small-claims jurisdiction.
21. Changes to These Terms
ONI may update these Terms to reflect changes in the Services, business practices, security needs, platform requirements, or law. The updated Terms will identify the new “Last Updated” date. If a change materially affects existing paid Services, ONI will provide reasonable advance notice through the website, billing account, email, or another appropriate channel when required.
Changes apply prospectively from their effective date. Your continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to a material change, you must stop using the affected Services and may cancel a recurring Service before the next renewal.
22. Electronic Communications and Notices
You consent to receive agreements, invoices, service notices, security notices, and other communications electronically. ONI may deliver operational notices through email, the billing portal, the website, a support ticket, or an ONI-managed community. You are responsible for maintaining a working email address and reviewing notices associated with your account.
23. General Terms
Force Majeure. ONI is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, utility or internet failures, labor disputes, war, civil unrest, government action, epidemics, attacks, upstream provider failures, or widespread platform outages.
Assignment. You may not assign these Terms or transfer a paid Service without ONI’s written consent. ONI may assign these Terms in connection with a merger, reorganization, sale of assets, or transfer of the applicable business or Service.
No Waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
Severability. If any provision is found unenforceable, it will be modified only to the minimum extent necessary or severed, and the remaining provisions will remain in effect.
No Third-Party Beneficiaries. These Terms do not create rights for anyone other than you and ONI, except as expressly stated.
Relationship. These Terms do not create an employment, agency, franchise, fiduciary, or legal partnership relationship between you and ONI.
Entire Agreement. These Terms and applicable Additional Terms are the complete agreement between you and ONI concerning the Services and replace prior discussions or understandings on the same subject. A separate written agreement signed or expressly accepted by ONI may supplement or replace the applicable provisions.
